02

Scope and related documents

This EULA governs your licence to download, install, and use the Software. It complements, and does not replace, the following documents:

  • the Terms of Service, which govern the Service, including the Online Services, Accounts, Keys, Credits, payments, billing, refunds, User Content, and acceptable use;
  • the Privacy Policy, which explains how we collect, use, share, and protect personal data; and
  • the Security & Trust page, which describes our security practices.

If these documents conflict, the following order of precedence applies, to the extent of the conflict:

  • a separate written agreement signed by you and Review Spaces that expressly covers the matter prevails over this EULA, the Terms of Service, and the Privacy Policy;
  • Additional Terms prevail over this EULA for the Software they cover;
  • this EULA prevails over the Terms of Service on matters concerning the licence to install and use the Software;
  • the Terms of Service prevail on all other matters, including the Online Services, Accounts, Keys, Credits, payments, billing, refunds, User Content, and acceptable use; and
  • the Privacy Policy, together with any data processing agreement signed by you and Review Spaces, governs the processing of personal data.

We may make a particular item of Software available on Additional Terms, for example with different installation or user limits. We will present any Additional Terms before you download, install, or start using that Software, and they apply only to that Software. Additional Terms do not reduce the rights this EULA gives you for Software you obtained before those terms were presented to you.

Nothing in this EULA or the documents listed above limits any rights you have under mandatory law.

03

Eligibility and acceptance

You must be at least 18 years old and have legal capacity to enter into this EULA. If you use the Software for a company, studio, or other organisation, you must have authority to accept this EULA on its behalf.

You accept this EULA by downloading, installing, accessing, or using the Software. If you do not agree to this EULA, you must not download, install, or use the Software.

The Account Owner is responsible for making this EULA available to its Authorised Users and for their compliance with it. Each Authorised User must comply with this EULA when using the Software.

04

Licence grant

Subject to this EULA, the Terms of Service, and payment of any applicable fees, Review Spaces grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to download, install, and use the Software, and to permit your Authorised Users to do so, for your own creative, professional, or internal business purposes. We may revoke this licence only as described in Section 15.

The Software is licensed, not sold. Many features of the Software require an Account, a valid Key, an internet connection, and available Credits. This licence does not by itself give you access to the Online Services or any Credits, which are provided under the Terms of Service.

05

Authorised users, installations and keys

  • Installations. You and your Authorised Users may install the Software on any number of devices. We do not apply installation or device limits under this EULA, unless Additional Terms for a specific item of Software state otherwise.
  • Internal deployment. An organisation may deploy the Software to its Authorised Users' devices, including through its internal software distribution or device management tools.
  • Authorised Users. The Account Owner may authorise any individual to use the Software with its Account or Keys. Authorised Users use the Software under the Account Owner's licence.
  • Sharing Keys. The Account Owner may share Keys with its Authorised Users, including employees, contractors, collaborators, and clients, as permitted by the Terms of Service. Keys must not be published or shared publicly, shared with anyone the Account Owner has not authorised, sold, or used to resell or provide the Online Services to others as a managed service or service bureau.
  • Responsibility. The Account Owner remains responsible for keeping its Keys secure and for all activity, usage, purchases, Credit spending, and misuse under its Account and Keys, including by Authorised Users. When an Authorised User should no longer have access, the Account Owner should remove that access, for example by rotating or disabling the relevant Keys. The Account Owner must notify us promptly of any suspected unauthorised access, compromise, or misuse.
  • Individual accounts. If you hold an Account as an individual, you are the Account Owner, anyone you authorise to use your Account or Keys is your Authorised User, and you are responsible for their use.
06

Ownership and intellectual property

  • Review Spaces and its licensors own all rights, title, and interest in the Software, including its code, design, user interface, workflows, documentation, names, branding, logos, and trademarks.
  • Except for the licence expressly granted in this EULA, no rights in the Software are transferred to you.
  • You must not remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software.
  • Your Inputs, User Content, and Outputs are not part of the Software. Section 11 explains how they are treated.
  • Feedback, ideas, and suggestions you send us are handled as described in Intellectual property and feedback in the Terms of Service.
07

Restrictions and your legal rights

Except as expressly permitted by this EULA or by mandatory law, you must not, and must not allow others to:

  • sell, resell, rent, lease, lend, sublicense, distribute, publish, or otherwise make the Software available to anyone other than your Authorised Users, including through public repositories, file-sharing services, or marketplaces;
  • provide the Software or the Online Services to third parties as a managed service, service bureau, or hosted offering, unless we agree in writing;
  • copy, modify, translate, adapt, or create derivative works of the Software, except for copies made as part of normal installation, deployment, use, and backup;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Software;
  • remove, disable, bypass, or interfere with authentication, Keys, Credit metering, rate limits, usage controls, security features, or provider restrictions in the Software;
  • use the Software to access AI Providers or Third-Party Services directly through Review Spaces credentials or infrastructure;
  • use the Software to build a competing product or service based on the Software; or
  • use the Software for any prohibited use listed in the Terms of Service or in breach of applicable law.

These restrictions do not apply to the extent that applicable law gives you a right that cannot be excluded by contract. In particular, where EU law or equivalent law applies, a person who has the right to use the Software may make a backup copy where necessary for that use; observe, study, or test how the Software functions to determine the ideas and principles underlying it; and decompile the Software where indispensable to obtain the information needed for interoperability with other independently created programs, within the conditions set by law. Before decompiling for interoperability, we ask that you first contact us at [email protected], as the information you need may already be available.

08

Adobe Photoshop and third-party software

  • The Plugin works with Adobe Photoshop, and the Software may depend on other Third-Party Software. You must obtain and maintain your own valid licences for Adobe Photoshop and any other Third-Party Software you use, and comply with their terms.
  • The Software is developed and operated independently by Review Spaces L.P. Adobe is not a party to this EULA and has no obligations or liability to you under it, including for the Software or its support, maintenance, or updates.
  • The Plugin may be distributed through Adobe-related distribution channels, such as Adobe Exchange, which may apply their own terms to the download or installation process. As between you and Review Spaces, this EULA governs your licence to the Software.
  • The Software's compatibility depends on factors outside our control, including changes Adobe makes to Photoshop, its plugin platform, or its policies. Except as required by mandatory law, we do not guarantee that the Software will work with every version of Photoshop, every operating system, or every device. Supported versions and system requirements may change as described in Section 9.
  • Adobe and Photoshop are either registered trademarks or trademarks of Adobe in the United States and/or other countries. Other names and marks mentioned in connection with the Software belong to their respective owners.
09

Updates and compatibility

  • We may provide updates, upgrades, patches, fixes, or new versions of the Software ("Updates"). Updates are part of the Software and are governed by this EULA unless Additional Terms state otherwise.
  • Some Updates may be required to keep the Software compatible with Photoshop, operating systems, or the Online Services, to address security issues, or to keep access to the Online Services. Older versions of the Software may stop working with the Online Services, and we may stop supporting them.
  • We may change, add, or remove features, tools, models, or functionality of the Software, or discontinue the Software or any feature, as described in Availability and service changes in the Terms of Service.
  • If you do not install an Update that we make available, the Software may not work as intended. To the extent permitted by law, we are not responsible for problems that the Update would have prevented or fixed.
  • Except where mandatory law requires it, as described in Section 18, we do not commit to providing any particular Update, maintaining any particular feature, or supporting the Software for any particular period.
10

Online services, credits and billing

Most features of the Software use the Online Services. Your use of the Online Services, including Accounts, Keys, Credits, credit pricing, auto-refill, payments, taxes, billing, and refunds, is governed by the Terms of Service, in particular Accounts, keys and team use and Credits, payments, billing and refunds.

This EULA does not change those terms, introduce any new fee, or grant any Credits.

11

Content, AI outputs and AI processing

  • You retain ownership of your Inputs and User Content, and Review Spaces does not claim ownership of your Inputs. Rights in Outputs, and the licence you grant us to process User Content, are set out in User content and AI processing in the Terms of Service.
  • When you use the Software, Inputs, Outputs, metadata, and job parameters may be sent to Review Spaces, AI Providers, and infrastructure providers to generate, edit, upscale, describe, enhance, or otherwise process content. AI Providers may process data outside Greece, the EU, or the EEA, as described in the Privacy Policy.
  • AI systems are probabilistic and may produce Outputs that are inaccurate, unexpected, or similar to outputs generated for others. You must review Outputs before using or relying on them, as described in the AI output disclaimer in the Terms of Service.
  • You are responsible for having all rights, permissions, and consents needed for your Inputs, and for meeting any labelling, disclosure, or other legal requirements that apply to how you use or publish Outputs, including requirements for AI-generated or AI-manipulated content.
  • Outputs may include metadata, watermarks, or provenance information added by AI Providers. You must not remove or alter that information where doing so would be unlawful or would breach the relevant AI Provider's terms.
12

Privacy, confidentiality and data retention

  • We process personal data as described in the Privacy Policy. This includes technical data the Software may send when you use it, such as plugin version, Photoshop version, operating system, computer name where provided, logs, and error reports.
  • Uploaded and generated image files are automatically removed after 24 hours. Other data, including account information, prompts, usage, billing, activity history, and operational records, is retained as described in Retention in the Privacy Policy.
  • Where a business customer uses the Software for its own team or clients, Review Spaces may act as a processor for that customer for certain personal data, as described in the Privacy Policy. If your organisation requires a data processing agreement, contact [email protected].
  • This EULA does not create a separate confidentiality or non-disclosure agreement. You should not submit confidential, restricted, client-sensitive, regulated, or highly sensitive material unless you have authority to do so and accept the processing risks described in Confidentiality in the Terms of Service and in the Privacy Policy.
  • Our security practices are described on our Security & Trust page.
13

Open-source and third-party components

  • The Software may include Open-Source Components and other third-party components. Each of them is licensed under its own licence terms, which apply to that component.
  • If the licence for an Open-Source Component gives you rights that this EULA would otherwise restrict, such as rights to receive, modify, or redistribute that component's source code, those rights apply to that component and this EULA does not restrict them.
  • Where an open-source licence requires us to provide notices, licence texts, or source code, we will make them available as that licence requires. You can also request them at [email protected].
14

Support and availability

Support for the Software is provided through the channels we designate, such as [email protected] or in-service support tools. We do not guarantee response times, resolution times, uptime, or availability unless we separately agree in writing.

The Online Services may be unavailable, delayed, degraded, or interrupted, and features marked as beta, preview, experimental, or early access may be changed or withdrawn, as described in Availability and service changes and Support in the Terms of Service.

15

Suspension, termination and uninstallation

  • This EULA continues until it is terminated as described in this section.
  • You may end this EULA at any time by uninstalling the Software and deleting all copies in your possession or control. Closing your Account is handled under the Terms of Service.
  • We may suspend or limit your use of the Software, rotate or disable Keys, or terminate this EULA in the circumstances described in Suspension and termination in the Terms of Service, including breach, suspected misuse, security risk, fraud, payment issues, or legal risk.
  • If your access to the Service is terminated under the Terms of Service, this EULA also ends.
  • When this EULA ends, your licence ends. You and your Authorised Users must stop using the Software and uninstall and delete all copies in your possession or control, including copies deployed through internal distribution tools. The Account Owner is responsible for making sure its Authorised Users do so.
  • Termination does not affect Outputs you obtained before termination, which remain subject to the Terms of Service. Uploaded and generated files are removed as described in Section 12, so you should download any Outputs you need.
  • Unused Credits are handled under the Terms of Service and applicable law.
  • Sections 6, 7, 11, 12, and 15 to 21 survive termination, together with any other provisions that by their nature are intended to survive.
16

Warranty disclaimer

To the maximum extent permitted by applicable law, the Software, Updates, Open-Source Components, Outputs, and Third-Party Software are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. Review Spaces disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, compatibility, availability, accuracy, reliability, security, and error-free or uninterrupted operation.

The Warranty disclaimer in the Terms of Service applies to the Online Services. Nothing in this EULA excludes or limits mandatory consumer rights, including those described in Section 18, or any warranty or liability that cannot legally be excluded or limited.

17

Limitation of liability

To the maximum extent permitted by applicable law, Review Spaces, its founders, officers, employees, contractors, affiliates, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, content, clients, business interruption, replacement services, wasted spend, or lost opportunities, arising out of or related to the Software or this EULA.

To the maximum extent permitted by applicable law, Review Spaces' total liability for all claims arising out of or related to the Software, this EULA, the Service, and the Terms of Service, whether in contract, tort, negligence, strict liability, statute, or otherwise, is limited to the greater of the amount you paid to Review Spaces for the Service in the six months before the event giving rise to the claim or EUR 100. This is a single overall limit shared with the Terms of Service, not a separate limit under each document.

These limits apply even if a remedy fails of its essential purpose. They do not limit or exclude liability that cannot be limited or excluded under applicable law, including liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or under mandatory consumer rights.

18

Consumer rights

If you are a Consumer, you have statutory rights under the consumer protection laws that apply to you, including, in the European Union, laws implementing EU rules on digital content and digital services. This EULA does not exclude, restrict, or replace those rights, and it applies to you only to the extent consistent with them.

  • Conformity and updates. Where the law requires the Software or the Online Services to conform to the contract and to statutory requirements, including by supplying updates, such as security updates, needed to keep them in conformity, those requirements apply despite anything to the contrary in this EULA. If they do not conform, you may be entitled to remedies such as having them brought into conformity, a proportionate price reduction, or ending the contract, as provided by law.
  • Changes. If we change the Software or the Online Services in a way that has more than a minor negative impact on your access to or use of them, we will inform you as required by law, and any right the law gives you to end the contract free of charge, or to other remedies, applies.
  • Withdrawal. If you buy Credits as a Consumer, you have the 14-day right of withdrawal described in section 9 of the Terms of Service. Any other right of withdrawal the law gives you also applies, subject to the conditions and exceptions set by law.
  • Limitations. The disclaimers and limitations in Sections 16 and 17 apply to Consumers only to the extent permitted by the laws that protect them.
  • Courts. Section 19 explains where Consumers can bring claims.
19

Governing law and jurisdiction

This EULA is governed by the laws of Greece, without regard to conflict-of-law rules. Subject to mandatory consumer protection laws that may give you rights in another forum, the courts of Athens, Greece will have exclusive jurisdiction over disputes arising from or related to this EULA or the Software.

If you are a Consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country where you habitually reside. If you are a Consumer living in the European Union, you may also bring proceedings in the courts of the country where you live, and we may bring proceedings against you only in those courts.

20

Export controls and sanctions

You must comply with all export control and sanctions laws that apply to your use of the Software and the Online Services, including those of the European Union, Greece, and the United Nations, and, where applicable, the United States and the United Kingdom.

You must not download, install, use, or allow access to the Software or the Online Services: in, or for the benefit of anyone located in, a country or region subject to comprehensive sanctions; by or for any person or entity that is the target of applicable sanctions or listed on a restricted-party list; or for any end use prohibited by those laws. You represent that you and your Authorised Users are not such persons or entities.

21

General terms

  • Assignment. You may not assign or transfer this EULA or your rights under it without our prior written consent. We may assign or transfer this EULA in connection with a merger, acquisition, reorganisation, sale of assets, or similar transaction, provided that this does not reduce your rights under mandatory consumer law.
  • Severability. If any provision of this EULA is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
  • Language. This EULA is written in English. If we provide a translation, the English version prevails to the extent permitted by law.
22

Changes to this EULA

We may update this EULA from time to time, for example to reflect changes to the Software, the Online Services, or applicable law. We may notify you of material changes by email, website notice, account notice, in-service notification, or by updating the date above.

Your continued use of the Software after the updated EULA becomes effective means you accept the updated EULA. If you do not agree to the updated EULA, you must stop using and uninstall the Software. If you are a Consumer, changes are subject to your rights described in Section 18. A separate written agreement signed by you and Review Spaces may set different terms for changes.
